(hereinafter "Company") and the user (hereinafter "User") regarding access to and use of all content, software, products, and online services (hereinafter "Service") provided through https://aienchant.com (hereinafter "Site").
The Company reserves the right to modify or update these Terms at any time. All modifications will be posted on the Site. By selecting to agree to these Terms on the designated registration page, the User (i) fully acknowledges and accepts these Terms, (ii) agrees to be bound by these Terms, and (iii) confirms that a binding agreement has been entered into with the Company.
Chapter 1. General Provisions
Article 1 (Formation of Service Agreement)
(1) The unmodified Terms in their entirety constitute a binding agreement between the User and the Company. By accessing or using the Site and/or Service, whether in a personal capacity or on behalf of a corporation or other legal entity, the User confirms that they have read and understood these Terms and agree to comply with them.
(2) If the User enters into these Terms on behalf of a corporation or other legal entity, the User warrants that they have full authority to bind such entity and its affiliates, and in such case, the term "User" shall be construed to refer to such entity and its affiliates.
(3) The Service is managed, operated, and controlled by the Company. Access to and registration on the Site is available only to users aged 18 or older. However, minors under the age of 18 may not use the Site or Service or register for membership without the consent of a legal guardian.
Article 2 (Use of Service by Minors)
(1) If a minor under the age of 18 wishes to use the Service, the Company may implement procedures to verify the consent of a legal guardian. If a minor uses the Service or makes a payment without the consent of a legal guardian, the Company may cancel or terminate the agreement.
(2) A legal guardian may at any time restrict the minor's use of the Service or request access to, correction of, or deletion of personal information. The Company shall take necessary measures without delay upon receiving a legitimate request.
(3) If a minor makes a payment without the consent of a legal guardian, the agreement may be rescinded pursuant to Article 5 of the Civil Act. However, if the minor used another person's identity or false information to misrepresent themselves as an adult, the right to rescind the agreement may be limited.
Article 3 (Amendment of Terms)
(1) The Company may change or modify these Terms and all policies at any time by posting the revised version on the Site.
(2) Modified Terms shall take effect immediately upon posting. In the case of changes disadvantageous to the User, the Company shall provide notice on the Site and individual notification via the User's registered email at least 30 days prior to the effective date.
(3) In the case of changes disadvantageous to the User, the Company shall request the User's explicit consent to such changes. If the User does not expressly object within 30 days of notification, the User shall be deemed to have consented to the changes.
(4) If the User does not agree to the revised Terms, the User may discontinue use of the Service and withdraw their membership.
Chapter 2. Use of Service
Article 4 (Description of Service)
The Company provides the following services:
(1) AI-based video data preprocessing: Automatic recognition of slate information within filmed clips and metadata extraction
(2) Workflow automation: Video file renaming, folder structuring, and NLE (editing tool) integration file generation
(3) Others: Technical support and updates necessary for the provision of the above services
(4) The core functions of the Service are executed only within the User's local computing environment (PC), and video source files in their entirety are not transmitted to the Company's servers. However, limited data (such as slate region images) may be collected if the User separately consents in accordance with Article 2 of the Privacy Policy.
(5) The Company provides the software to users in downloadable format through the website.
(6) The Company provides video analysis functions on a coin (credit) basis, and users purchase coins to use such functions. Matters regarding the purchase and use of coins are stipulated in Articles 11 and 11-2.
Article 5 (License Grant and Usage Restrictions)
(1) Subject to strict compliance with these Terms, the Company grants the User a limited, non-exclusive, non-transferable, personal, and non-assignable license to access and use the Site and Service.
(2) [1 PC per 1 License Principle] The User may install and use the software on only one PC (or device) per license.
(3) [Device Change] If a device change is necessary, the User may log in and authenticate on a new device, in which case the authentication on the existing device is automatically revoked. Authentication on a new device is possible even when the existing device is inaccessible due to malfunction or loss. However, the Company may restrict device changes if abnormally frequent device changes are detected. (Simultaneous access from 2 PCs is not permitted.)
(4) [Concurrent Access Blocking] The Company may store and verify hardware identification information (MAC Address, HDD Serial, etc.) to prevent license policy violations, and may technically block simultaneous access from multiple devices under the same license.
(5) The User agrees not to reproduce, copy, sell, trade, or resell the Service or any part thereof, or to remove, obscure, or alter any copyright or proprietary notices.
(6) [Account-bound Coin Balance] Coin balances are tied to the User's account, and logging in with the same account after a device change will maintain the coin balance. License (device authentication) and coin balance are managed separately.
Article 6 (Account Registration and Security)
(1) To use the Service, the User must register an account ("Account") and will be issued a username and password ("User ID").
(2) The User is solely responsible for maintaining the confidentiality of the User ID and shall not disclose it to any third party.
(3) The User is solely responsible for protecting any tokens, keys, or passwords issued for accessing the Site and Service. The User is responsible for all activities conducted using the User's credentials.
(4) The User agrees to notify the Company immediately upon becoming aware of any unauthorized use of credentials or any other security breach.
(5) The Company may deactivate or suspend the User's account upon prior notice in the event of any of the following circumstances. However, in cases of urgent security threats or the need to fulfill legal obligations, the Company may take immediate action without prior notice.
- Material breach of these Terms
- Confirmed fraudulent use or abnormal access
- Compulsion by law or request from investigative authorities
- Extended inactivity (subject to dormant account processing criteria)
- Fraudulent activity related to coins (per Article 8 (9))
Article 7 (Provision and Modification of Service)
(1) The Company may modify the Service for reasons such as service improvement or technical necessity, and shall provide 30 days' advance notice via the Site and email in the case of material changes. In the event of complete service termination, unused coins shall be processed in accordance with Article 12.
(2) The User acknowledges that in the event of a material breach of these Terms, the Company may deactivate or terminate the User's access to the Service, and that such action may result in the loss of access to content or files stored on the Site.
(3) The User may hold and operate only one account per person. The Company may require SMS (text message) verification to enforce the one-account-per-person policy, and multiple accounts may not be created with the same phone number.
Chapter 3. User Obligations
Article 8 (Prohibited Activities)
The User shall not engage in any of the following activities:
- (1) Registration of false information when applying for or modifying the Service
- (2) Misappropriation of another person's information
- (3) Unauthorized modification of information posted by the Company
- (4) Transmission or posting of information (such as computer programs) other than information designated by the Company
- (5) Infringement of intellectual property rights, including copyrights, of the Company or third parties
- (6) Acts that damage the reputation of or interfere with the business of the Company or third parties
- (7) Posting or publishing obscene or violent information or other information contrary to public order and morals on the Service
- (8) Accessing the Site through automated or non-human methods (e.g., scripts, bots, etc.)
- (9) Creating multiple accounts or using another person's identity to create accounts for the purpose of receiving free benefits (such as sign-up coins). Upon detection, all accounts may be suspended and improperly used coins may be recovered. (Accounts may be suspended if abnormal requests originate from the same IP range.)
Article 9 (Protection of Intellectual Property Rights and Prohibition of Reverse Engineering)
(1) The Site and all related services are and shall remain the sole and exclusive property of the Company.
(2) [Prohibition of Reverse Engineering] The User is strictly prohibited from engaging in any of the following activities:
- Extracting, decompiling, or reverse engineering AI model parameters, weights, or algorithms contained in the Service
- Training derivative models based on extracted information
- Developing competing products or similar services using this Service
- Attempting to disassemble any part of the software source code (or assisting others in such attempts)
- Extracting model weights from loaded memory to external devices
- Extracting encrypted files and distributing them without authorization
(3) [Sanctions] If the User violates Paragraph 2 above and infringes upon the Company's core technological assets, the Company may immediately and permanently suspend the User's access to the Service. Such acts shall be deemed violations of the Copyright Act and the Unfair Competition Prevention Act, and may be subject to civil and criminal legal action.
(4) The User shall not remove, obscure, or modify any proprietary notices, including copyright, trademark, or other legal legends, attached to or contained in the Site or Service.
(5) EVERBLACK Co., Ltd. reserves the right to trace and identify users if evidence of unauthorized modification of model weights deployed in the system is discovered.
Article 10 (Data Backup and Management Obligations)
(1) For data security purposes, the Service operates exclusively on the User's local device (on-device), and the Company does not store or back up the User's video source files or project data on separate servers. Optional data collection for service improvement is governed by the Privacy Policy.
(2) Since video data exists only on the User's device, which is outside the Company's control, all responsibility for backup, security, and integrity of such data lies solely with the User.
(3) The User bears sole responsibility for any data loss resulting from device malfunction, loss, ransomware infection, operational error, or similar causes, and the Company shall not be liable for technical recovery assistance or compensation.
(4) Exception: If the User consents to the service improvement option, specific frames may be extracted for the purpose of AI model improvement.
Chapter 4. Payment and Refund
Article 11 (Coin Purchase and Payment)
(1) Paid features (video analysis) of the Service are provided on a coin (credit) basis, with 1 coin = 1 video analysis deducted per use.
(2) Coins may be purchased in package units (Starter, Basic, Pro, Studio, Business (subject to change)) as determined by the Company. The number of coins, unit price, and price for each package shall be posted on the Company's website.
(3) Payment may be processed as a one-time package payment or recurring payment (auto-renewal). In the case of recurring payments, the subscription is automatically renewed unless the User cancels separately, and the User may cancel the recurring payment at any time. Recurring payment functionality is planned for future release; currently, only one-time payments are supported.
(4) International payments are processed through Paddle, and payments in Korea are processed through TossPayments. Supported currencies are Korean Won (KRW) and US Dollar (USD). The User's payment information is processed directly by the respective payment processor. The Company does not store credit card information directly.
(5) Users must enter accurate information when registering for membership, and users are responsible for any disadvantages resulting from false information.
Article 11-2 (Nature and Use of Coins)
(1) Coins are prepaid payment instruments for using the video analysis function within the Service, have no cash value, and cannot be transferred, assigned, used as collateral, or exchanged for cash.
(2) Purchased coins have no expiration period and may be used as long as the account is maintained. However, unused coins are forfeited upon membership withdrawal.
(2-2) If an account becomes dormant due to no login for three years pursuant to the Privacy Policy, coin balances are separately preserved and restored upon reactivation. However, if account information is destroyed due to the expiration of the legally mandated retention period while in dormant status, coins are also forfeited. The Company will notify the User via registered email at least 30 days prior to dormant account processing.
(3) Free coins provided upon membership registration (20 coins) are promotional coins that may be used without expiration as long as the account is maintained. Promotional coins are not eligible for refund and are deducted before purchased coins.
(4) Coins are deducted at the time the User requests an analysis. If the analysis is not completed normally due to the Company's fault (server error, system failure, etc.), coins are not deducted.
(5) Dissatisfaction with the accuracy or quality of results after a normal analysis completion does not constitute grounds for coin refund. (Please refer to Article 15 regarding the limitations of AI technology.)
(6) The Company may change coin-related terms (unit price, package composition, etc.) for reasons such as service improvement, and such changes shall not affect coins purchased prior to the change.
Article 12 (Withdrawal and Refund)
(1) The Company provides free coins (20 coins) so that Users can sufficiently evaluate the suitability of the Service's functions before making a payment.
(2) If a coin package has been purchased, a withdrawal request may be submitted within 14 days from the payment date, and a full refund shall be provided only if no coins have been used.
(3) If one or more coins have been used, it shall be deemed that the provision of digital content has commenced, and the right of withdrawal shall be restricted in accordance with the Act on Consumer Protection in Electronic Commerce.
(4) No refund shall be provided after 14 days from the payment date, regardless of whether coins have been used.
(5) Notwithstanding Paragraphs 2 and 3, refunds shall be available in the following cases:
- If normal use is impossible due to technical problems with the Service itself, and the Company fails to resolve them within 30 days
- If the Service is permanently discontinued due to the Company's fault (unused coins shall be refunded based on the purchase unit price)
- If other refund grounds stipulated by applicable laws are met
(6) Free coins (promotional coins) are not eligible for refund under any circumstances.
(7) Refunds are processed through the original payment method, and the processing period may take 7 to 14 business days depending on the payment method.
(8) At the time of coin purchase, the User must explicitly consent to the refund restriction notice stating that 'refunds are restricted if one or more coins are used, and no refund is available after 14 days from the payment date.' Payment shall not proceed without such consent.
Article 13 (Cancellation or Termination)
(1) The User may cancel the Service at any time for any reason. Upon cancellation, the User acknowledges that (i) unused coins are forfeited and non-refundable (except where refund requirements under Article 12 are met), and (ii) the User's access to the Service, including keys or passwords, shall be revoked.
(2) The Company may, in its sole discretion, with or without prior notice, suspend or terminate the User's keys, passwords, or access to the Service upon the occurrence of cause. Cause includes, but is not limited to, breach of these Terms, interruption of Service or Site, extended inactivity, and legal compulsion.
(3) Upon expiration or termination of this agreement, all licenses granted hereunder shall immediately terminate, and the User must permanently delete all data provided by the Company.
(4) The coin system operates on a one-time payment basis, so no outstanding payment situations arise. However, if a User's violation of the Terms is confirmed, the Company may restrict access to the Service pursuant to Article 6, Paragraph 5.
Chapter 5. Limitation of Liability
Article 14 (Service Availability)
(1) Even during the Company's website and authentication server maintenance, updates, or outages, core offline functions (slate recognition, data organization, etc.) of the software that is already installed on the User's device and has completed valid license authentication shall be provided normally.
(2) However, the following functions require an internet connection and may be temporarily restricted depending on server status:
- License authentication after initial installation
- Authentication transfer upon device change
- Periodic license renewal checks
- Software update downloads
- Coin deduction and video analysis request processing
- Coin balance verification
Article 15 (Limitations of AI Technology and User Verification Obligations)
Important Clause: Please be sure to read this clause carefully as it pertains to a critical aspect of Service usage.
(1) (Probabilistic Estimation) The User acknowledges and agrees that the AI functions of the Service (such as slate recognition) are based on probabilistic models and may produce inaccurate or incomplete results (hereinafter "misrecognition") due to technical limitations. The Company does not guarantee 100% accuracy or integrity of AI outputs.
(2) (Assistive Tool) The Service is an assistant tool designed to enhance the efficiency of the User's video editing and data management tasks. The final responsibility for verifying and reviewing the accuracy of AI-generated outputs (timecodes, scene numbers, text data, etc.) lies solely with the User.
(3) (Algorithm Variations) Analysis results for the same video may differ from previous results due to algorithm updates, and this shall not be considered a defect of the Service.
(4) (Secondary Damage Disclaimer) The Company shall not be liable, except in cases of willful misconduct or gross negligence, for any secondary damages (editing data errors, re-filming costs, delivery delays, financial losses, etc.) incurred by the User's use of AI analysis results without verifying them against the original material.
Article 16 (Limitation of Damages / Liability Cap)
(1) To the maximum extent permitted by applicable law, the Company's total liability arising from or related to these Terms or the Service shall not exceed the total amount of coin purchases actually paid by the User to the Company during the 12 months immediately preceding the event giving rise to the claim for damages.
(2) In no event shall the Company be liable for any of the following:
- Direct, indirect, punitive, exemplary, incidental, special, or consequential damages
- Damages resulting from loss or corruption of data
- Loss of business profits, revenue, contracts, or anticipated savings
- Damages resulting from re-filming costs or editing schedule delays
- Damages resulting from loss of use or business interruption
(3) The above limitation of liability shall apply regardless of whether the Company was advised in advance of the possibility of such damages.
(4) However, the limitations in Paragraphs 1 and 2 shall not apply to damages caused by the Company's willful misconduct or gross negligence.
Article 17 (Disclaimer of Warranties)
(1) The Company and its affiliates, officers, employees, agents, partners, and licensors expressly disclaim all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and the accuracy, adequacy, or completeness of information presented on the Site or generated by the Service.
(2) The Site and Service are provided on an "AS IS" and "AS AVAILABLE" basis without any representation or warranty that they will meet the User's requirements or be provided without interruption, error, or in a secure manner.
(3) No advice or information, whether oral or written, obtained from the Company or through the Service shall create any warranty not expressly stated in these Terms.
Article 18 (Force Majeure)
The Company shall not be liable for any failure to comply with or perform its obligations under these Terms in a timely manner due to causes including, but not limited to, acts of God, fire, flood, accidents, riots, war, government intervention, embargoes, strikes, labor shortages, equipment failure, internet outages, power failures, or other uncontrollable events.
Article 19 (Indemnification)
The User agrees to indemnify, defend, and hold harmless the Company, its officers, directors, employees, managers, shareholders, agents, subsidiaries, affiliates, suppliers, and licensors from and against all claims, actions, losses, expenses, damages, and costs (including legal fees) arising from or related to:
